1. Agreement to Terms

By engaging BoldPixelFrame for any web design, development, or consulting service, you ("the Client") agree to be bound by these Terms of Service. These terms apply to all projects, retainers, and consultations initiated through our website, email correspondence, or verbal agreements confirmed in writing.

2. Scope of Services

All services are defined in a mutually agreed Statement of Work (SOW) or project proposal document. The SOW specifies deliverables, timelines, milestones, and pricing. Any work requested outside the agreed scope constitutes a change request and may incur additional charges quoted separately.

3. Pricing & Payment

• ▸ All prices are quoted in GBP or USD as specified in the proposal.
• ▸ A 50% deposit is required before work commences on any project.
• ▸ The remaining 50% balance is due upon project delivery and before handover of final files.
• ▸ Late payments incur a 2% monthly surcharge on the outstanding balance.
• ▸ Retainer fees are invoiced monthly in advance and are non-refundable for partial months.

4. Intellectual Property

Upon full and final payment of all agreed invoices, BoldPixelFrame assigns all worldwide intellectual property rights in the deliverables—including source code, design files, visual assets, and documentation—to the Client. BoldPixelFrame retains the right to display completed work in its portfolio and marketing materials unless the Client objects in writing.

5. Client Responsibilities

The Client agrees to:

• ▸ Provide all necessary content, brand assets, and access credentials in a timely manner.
• ▸ Designate a single point of contact for feedback and approvals.
• ▸ Review and approve deliverables within 5 business days of submission.
• ▸ Ensure all provided content does not infringe third-party intellectual property rights.

Delays caused by the Client in providing feedback or materials may extend project timelines proportionally.

6. Project Timelines

Estimated delivery timelines are provided in the SOW and are considered best-effort estimates. BoldPixelFrame will make all reasonable efforts to meet agreed deadlines. The Client will be notified promptly of any anticipated delays. Timeline extensions due to force majeure events, Client delays, or scope changes will be communicated in writing.

7. Limitation of Liability

To the maximum extent permitted by applicable law, BoldPixelFrame's total aggregate liability arising from or related to any project shall not exceed the total fees paid by the Client under the relevant SOW. BoldPixelFrame shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data, or business opportunities.

8. Termination

Either party may terminate a project with 14 days' written notice. Upon termination, the Client is responsible for payment of all work completed up to the termination date. Any deposit paid is non-refundable if work has already commenced. All completed work and source files will be delivered to the Client upon settlement of outstanding invoices.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

BoldPixelFrame is committed to delivering high-quality web design services. Due to the bespoke nature of our work, refunds are evaluated on a case-by-case basis in accordance with UK consumer protection law (Consumer Rights Act 2015).

2. Deposit & Pre-Payment

• ▸ The 50% project deposit is non-refundable once work has commenced, as it covers initial planning, research, and resource allocation.
• ▸ If the Client cancels before work begins, the deposit is fully refundable within 14 business days.

For completed deliverables that meet the specifications outlined in the agreed Statement of Work, no refund will be issued. If the deliverables materially deviate from the agreed specifications and BoldPixelFrame is unable to remedy the deviation within 14 days of notification, the Client may request a partial refund proportional to the non-conforming portion of the work.

4. Retainer Services

Monthly retainer fees are invoiced in advance and are non-refundable for partial months. The Client may terminate a retainer agreement with 30 days' written notice. No refund will be issued for the current paid billing period.

5. Refund Process

To request a refund, the Client must:

• ▸ Clearly describe the reason for the refund request and reference the relevant SOW or proposal.
• ▸ Allow up to 14 business days for review and processing of the refund request.

Approved refunds will be processed to the original payment method within 14 business days of approval.

6. Exclusions

Refunds will not be issued in the following circumstances:

• ▸ Change of mind after work has commenced and deliverables conform to the SOW.
• ▸ Delays caused by the Client's failure to provide required materials or feedback.
• ▸ Third-party service failures (hosting, domain registrars, payment processors).
• ▸ Requests made after the 14-day refund request window.

7. Dispute Resolution

In the event of a refund dispute, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days before pursuing any formal legal proceedings. Disputes that cannot be resolved amicably shall be subject to the jurisdiction of the courts of England and Wales.
